Maintaining open and consistent communication with WEGeniusMinds' team is essential to align the guidance provided with their goals and expectations. Clients should provide timely feedback on deliverables, such as branding concepts or video drafts, to facilitate a smooth and efficient process. It is important for clients to adhere to the recommended strategies for brand identity and digital presence to maximize the benefits of the services offered. By embracing innovative ideas and collaborating respectfully, clients commit to a partnership focused on achieving their business growth objectives.
4. Warranties and Disclaimers
At WEGeniusMinds Services, we offer expert guidance to support your business goals, recognizing that individual results may vary due to factors unique to each client. We encourage active engagement with our recommendations for optimal benefits and affirm that your success is a priority. Future modifications or upkeep of deliverables will require additional fees, determined by the specifics of the changes.
5. Termination
Either party may terminate this agreement with a written notice if there is a breach of terms that is not rectified within 30 days of notification. Upon termination, all remaining payments for services completed to date become due immediately. If termination is initiated by the client, any deposit paid is non-refundable.
6. Dispute Resolution
In the event of a dispute arising from or in connection with these Terms and Conditions, the parties agree to first attempt to resolve the issue amicably through negotiation. If a resolution cannot be reached, the dispute shall be submitted to arbitration in accordance with the rules of the American Arbitration Association. The decision of the arbitrator will be final and binding on both parties.
7. Payment Terms
Payment for services rendered by WEGeniusMinds is subject to the following terms:
A comprehensive invoice detailing the services to be provided will be issued to the client.
Payment is required within 2 days from the date of invoice issuance.
For projects with a total cost exceeding $3000, a 50% deposit is mandatory before the commencement of work.
In the event of late payment, a monthly interest charge of 5% will be applied to the overdue amount.
It is important to note that payment obligations remain in effect and are due as per the agreed schedule, regardless of any delays in project progress attributable to the client’s late delivery of necessary content or information.
8. Intellectual Property Rights
Upon full payment, the client will obtain ownership of the final deliverables as outlined in the service agreement. However, WEGeniusMinds retains the right to use any completed projects, in whole or in part, for promotional purposes in future company activities and on social media platforms. This includes the right to display, reproduce, and distribute the completed work as examples of our expertise and portfolio.
Preliminary concepts, designs, and ideas not included in the final deliverables remain the intellectual property of WEGeniusMinds. We reserve the right to use these preliminary materials for other projects or promotional purposes.
We ensure that such usage for promotional purposes will not disclose any confidential information or proprietary content belonging to the client.
9. Confidentiality
WEGeniusMinds is committed to maintaining the confidentiality of all client information and project details. This confidentiality clause remains in effect during and after the termination of our agreement, except in cases where disclosure is required by law.
10. Limitation of Liability
The services provided by WEGeniusMinds are specifically focused on elevating your business’s online presence through expertly designed strategies and solutions. This includes mindful techniques and enhancements to your digital presence, as outlined in our agreement.
It is important to note that marketing strategies aimed at generating sales or conversions typically require extra investment and may necessitate additional services. These services can be provided by WEGeniusMinds under a special offer or separate contract, tailored to the specific marketing needs of the client.
The ongoing management and operational responsibilities of the client’s business, including but not limited to running the business, maintenance, and management, fall solely under the client’s responsibility.
WEGeniusMinds shall not bear responsibility for any technical problems stemming from services offered by third-party hosting companies or other external service providers, regardless of whether these providers were suggested by WEGeniusMinds or chosen by the client. The onus is on the client to directly engage with and resolve any such issues with these third-party service providers.
11. Amendments
These Terms and Conditions may be amended or updated by WEGeniusMinds from time to time. Any such amendments will be effective immediately upon posting on our website or notification to the client.
12. Miscellaneous
Force Majeure: Neither party shall be liable for any failure to perform its obligations where such failure results from any cause beyond the party’s reasonable control.
Severability: If any provision of these Terms and Conditions is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect.
